I. Acceptance of Terms

These Terms of Service (“Terms”) govern access to and use of the website located at www.iowaelitetc.com (“Website”) and the engagement of real estate administrative and coordination services provided by Iowa Elite Transactions, LLC (“Company,” “we,” “us,” or “our”), doing business as Elite Transactions.

By accessing the Website or engaging our services, you (“Client” or “User”) agree to be bound by these Terms. If you do not agree, you may not access the Website or use our services.

II. Service Agreement Controls

If you enter into a separate written Service Agreement with us, that agreement governs your services. In case of conflict between these Terms and a fully signed Service Agreement, the Service Agreement controls. Disputes are governed by the Service Agreement; if none, Iowa law applies.

III. Nature of Services

Elite Transactions provides real estate administrative and coordination services for licensed real estate professionals ("Clients").

We are:

• Not a real estate brokerage
• Not licensed agents acting in representation 
• Not providing legal, tax, brokerage, or regulatory advice

We do not review contracts, disclosures, or transaction documents for legal sufficiency.

We act solely as an independent contractor to our Clients. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.

We may utilize independent contractors to perform services. All such individuals are bound by confidentiality and data protection obligations, and we remain responsible for service delivery.

IV. Eligibility

By using our Website or services, you confirm that you are:

• At least 18 years old
• Legally authorized to enter into agreements
• A licensed real estate professional or affiliated with one (if using our services)

V. Client Responsibilities

Clients are responsible for:

• Providing complete and accurate information
• Monitoring and meeting all contractual, brokerage, licensing, and regulatory deadlines
• Obtaining required broker permissions
• Ensuring legal, brokerage, and association compliance
• Communicating all compliance requirements to us
• Ensuring all parties understand our limited administrative role

Administrative deadline tracking provided by us does not replace the Client’s independent obligation to monitor and confirm all deadlines.

We do not negotiate, represent, advise, or verify the accuracy of information.

We are not responsible for errors, omissions, or delays resulting from incomplete or inaccurate information.

VI. Payment Terms

Service fees are due as outlined in your Service Agreement, Fee Schedule, or invoice. Nonpayment may result in suspension or termination of services without breach of contract. Fees are non-refundable unless otherwise stated in writing.

VII. Confidentiality and Data Handling

We handle information and data per our Privacy Policy. We may use secure third-party systems to manage communications and documentation. While we implement reasonable safeguards, electronic communications and cloud-based systems carry inherent risk. We are not responsible for unauthorized access, breaches, interception, outages, or third-party system failures.

VIII. Third-Party Disclosures and Client Data

We may share information with trusted third parties as necessary to operate our business and provide services. Clients agree to indemnity us for third-party information submissions. Information may be shared as reasonably necessary for administrative and coordination services. 

IX. No Guarantee of Outcome

We do not guarantee that any listing or transaction will close or be completed within a specific timeframe. Outcomes depend on multiple parties and factors outside our control.

X. Limitation of Liability

To the fullest extent permitted by law, services are provided on an “as available” and administrative-support basis. We disclaim all express and implied warranties, including merchantability, fitness for a particular purpose, non-infringement, or guarantee of successful transaction outcome.

We shall not be liable for:

• Indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages
• Loss of commissions, revenue, business opportunity, reputation, or diminution      in value
• Loss of data
• Interest rate changes
• Failed or delayed closings
• Errors or delays caused by factors outside our reasonable control

Our total liability for any claim arising out of or relating to our services shall not exceed the total fees paid for the specific service giving rise to the claim. Any claim must be brought within one (1) year from the date the cause of action arose, or it shall be permanently barred.

XI. Intellectual Property

All content, branding, and service-related materials are the intellectual property of Iowa Elite Transactions, LLC and are protected by applicable laws. You may not copy, reproduce, modify, distribute, or use materials without prior written consent.

XII. Termination

We may terminate or refuse service at our discretion, including for non-payment, misuse of services, or unprofessional conduct. Clients may terminate services at any time; however, payment remains due for services rendered through the termination date.

XIII. Third-Party Links

The Website may contain links to third-party websites. We are not responsible for the content or privacy practices, or terms of external sites.

XIV. Force Majeure

We are not responsible for delays or failure to perform resulting from events beyond our reasonable control, including but not limited to natural disasters, utility outages, internet failures, labor disputes, acts of government, or other unforeseen events.

XV. Governing Law

These Terms are governed by the laws of the State of Iowa, without regard to conflict of law principles. User or Client waives any right to trial by jury in any dispute arising under these Terms.

XVI. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions remain in full force and effect.

XVII. Amendments

We may update these Terms periodically. Updated versions will be posted with a revised “Last Updated” date.

Continued use of the Website or services after updates are posted constitutes acceptance of the revised Terms.
