I. Acceptance of Terms

These Terms of Service (“Terms”) govern access to and use of the website located at www.iowaelitetc.com (“Website”), operated by Iowa Elite Transactions, LLC, doing business as Elite Transactions (“Company,” “we,” “us,” or “our”).

By using the Website, you agree to these Terms to the extent enforceable under applicable law. If you engage our services, the applicable Service Agreement and incorporated documents govern that relationship as provided below.

II. Service Agreement Controls

When a separate Service Agreement applies to services provided by Elite Transactions, that agreement, together with its applicable incorporated documents, governs the service relationship.

Such documents may include the Fee Schedule, Procedures and Responsibilities Guide, Data Processing Addendum (“DPA”), and Privacy Policy, as applicable.

In the event of a conflict between these Terms and an applicable Service Agreement or its incorporated documents, the Service Agreement and incorporated documents shall control with respect to the services provided. The applicable Service Agreement shall also govern service-related disputes.

III. Nature of Services

Elite Transactions provides real estate administrative services to licensed real estate professionals ("Clients"), including listing document preparation, listing coordination, and transaction coordination. 

We are:

• Not a real estate brokerage
• Not licensed agents acting in representation 
• Not providing legal, tax, brokerage, or regulatory advice

We may review listing and transaction documents for administrative completeness but do not determine their legal sufficiency or provide legal, tax, or brokerage advice.

We act solely as an independent contractor to our Clients. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship.

We may utilize independent contractors to perform services. All such individuals are bound by confidentiality and data protection obligations, and we remain responsible for service delivery.

IV. Eligibility

By using our Website or services, you confirm that you are:

• At least 18 years old
• Legally authorized to enter into agreements
• A licensed real estate professional or affiliated with one (if using our services)
   

V. Client Responsibilities

Clients are responsible for:

• Providing complete and accurate information
• Monitoring and meeting all contractual, brokerage, licensing, and regulatory deadlines
• Obtaining required broker permissions
• Ensuring legal, brokerage, and association compliance
• Communicating all compliance requirements to us
• Ensuring all parties understand our limited administrative role

Administrative deadline tracking provided by us does not replace the Client’s independent obligation to monitor and confirm all deadlines.

We do not negotiate, represent, advise, or verify the accuracy of information.

We are not responsible for errors, omissions, or delays resulting from incomplete or inaccurate information.
 

VI. Payment Terms

Service fees, invoicing, payment deadlines, late fees, withdrawn-file charges, and other billing terms are governed by the applicable Service Agreement, Fee Schedule, and any other applicable written payment arrangements.

Nonpayment may result in suspension or termination of services as permitted under the applicable Service Agreement. Refunds, credits, and payment obligations shall be determined in accordance with the applicable written agreements and applicable law.

VII. Confidentiality and Data Handling

We collect, use, disclose, retain, and protect information in accordance with our Privacy Policy and, where applicable, the Data Processing Addendum incorporated into the applicable Service Agreement.

We implement reasonable safeguards appropriate to the nature and sensitivity of the information processed. However, electronic communications, cloud-based systems, and third-party technology platforms involve inherent security and operational risks, and no system can be guaranteed completely secure.

Responsibility for security incidents, unauthorized access, data breaches, or third-party system failures shall be determined in accordance with applicable law and, where applicable, the Service Agreement and DPA.

VIII. Third-Party Disclosures and Client Data

We may disclose information to authorized independent contractors, technology providers, and other third parties as reasonably necessary to operate our business and provide administrative services, subject to applicable law, required authorizations, our Privacy Policy, and any applicable DPA.

Clients are responsible for ensuring that they have the authority to provide personal information and listing- or transaction-related information to Elite Transactions and for obtaining any required consents or authorizations.

Any applicable indemnification obligations relating to third-party information submissions shall be governed by the Service Agreement.

IX. No Guarantee of Outcome

We do not guarantee that any listing or transaction will close or be completed within a specific timeframe. Outcomes depend on multiple parties and factors outside our control.

X. Limitation of Liability

To the fullest extent permitted by applicable law, the Website and its content are provided on an “as available” basis without warranties of uninterrupted availability, accuracy, or fitness for a particular purpose.

Elite Transactions shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the Website, except to the extent such liability cannot lawfully be excluded.

For services provided under an applicable Service Agreement, all disclaimers, limitations of liability, exclusions of damages, claim deadlines, and related remedies shall be governed by that Service Agreement and applicable law.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

XI. Intellectual Property

All Website content, branding, templates, resources, designs, and other materials owned or developed by Elite Transactions are protected by applicable intellectual property laws.

Except as expressly permitted by an applicable Service Agreement or authorized in writing, no person may copy, reproduce, modify, distribute, publish, or use Elite Transactions' proprietary materials without prior written consent.

Nothing in these Terms transfers ownership of materials belonging to third parties.

XII. Termination

We may restrict or terminate access to the Website for misuse, unlawful activity, or other legitimate business reasons, subject to applicable law.

Termination of services provided under an applicable Service Agreement shall be governed by that agreement and its incorporated documents. Termination does not relieve either party of accrued payment obligations or other obligations that survive termination under the applicable agreement.

XIII. Third-Party Links

The Website may contain links to third-party websites. We are not responsible for the content, privacy practices, or terms of external sites. 

XIV. Force Majeure

We are not responsible for delays or failure to perform resulting from events beyond our reasonable control, including but not limited to natural disasters, utility outages, internet failures, labor disputes, acts of government, or other unforeseen events. For services governed by an applicable Service Agreement, the force majeure provisions of that agreement shall control.

XV. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Iowa, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Disputes arising under an applicable Service Agreement shall be governed by that agreement's dispute resolution and governing law provisions.

XVI. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions remain in full force and effect.

XVII. Amendments

We may update these Terms periodically to reflect changes in our Website, business practices, services, or applicable requirements. Updated versions will be posted on our Website with a revised “Last Updated” date.

Changes to these Terms shall not independently modify an existing Service Agreement or its incorporated documents. Any changes affecting contractual obligations under a Service Agreement shall be governed by that agreement's applicable notice and amendment provisions.
